OFFICIAL SWEEPSTAKES RULES


Important: Please read these rules before entering the Sweepstakes.
THIS IS A FREE SWEEPSTAKES. NO PURCHASE IS NECESSARY TO ENTER OR WIN. The Sweepstakes is void where prohibited or restricted by applicable law, and all applicable federal, state, and local laws and regulations apply. The winner is responsible for any taxes, customs, duties, and the like related to the prize(s).

1. Definitions
“Agreement” or “Official Sweepstakes Rules” means these rules for the Sweepstakes.
“Sweepstakes” means Sponsor’s Sweepstakes.
“Grand Prize” means the product or service described in the advertisement or promotional materials for the Sweepstakes.
“Participant(s)” means the individual that enters the Sweepstakes in accordance with the advertisement or promotional materials for the Sweepstakes.
“Parties” means Sponsor and/or Participant.
“Sponsor” means CID Resources, Inc.
“Winning Participant” means each of the Participants chosen by the Sponsor to win the Grand Prize.

2. Eligibility.
Participants must be legal residents of the United States of America or Canada and be 18 years of age or older.

3. How and When to Enter.
Please see advertisement or promotional materials for the rules on how and when to enter.

Sweepstakes Entries will not be acknowledged. The actions performed as describe above are worth one (1) entry.

4. Disclaimer.
Sponsor and any of its parents, subsidiaries, affiliates, divisions, brands, directors, officers, shareholders, advisors, employees, and agents will not be responsible for: telephone, electronic, hardware, software, network, Internet, or other computer- or communications-related malfunctions or failures or any Sweepstakes disruptions, injuries, losses, or damages caused by events beyond the reasonable control of Sponsor.

5. Selection of Winner.
Please see advertisement or promotional materials for the rules on how a winner is selected.

The odds of being selected depend on the number of entries received.

6. Prizes
Please see advertisement or promotional materials for the Grand Prize and total number of Grand Prize winners.

Once a selection has been made, Sponsor will notify the potential winners via direct message on the applicable website, profile, or application through which the sweepstakes was conducted and the potential winner will have forty-eight (48) hours from the time the announcement is made to claim the Grand Prize. If the winner has not contacted the Sponsor in any way within forty-eight (48) hours from the time of the announcement, then the Grand Prize will be forfeited in its entirety and an alternate winner will be selected. The Grand Prize is not transferable; no Grand Prize substitutions or cash alternatives are allowed except as may be determined by Sponsor in its sole discretion.

The Winning Participants, once selected, shall submit all paperwork required by Sponsor to obtain the applicable Grand Prize, such as an IRS Request for Taxpayer Identification Number and Certification (Form W-9).

ALL FEDERAL, STATE, AND LOCAL TAXES ASSOCIATED WITH THE RECEIPT OR USE OF THE GRAND PRIZE ARE THE SOLE RESPONSIBILITY OF THE WINNING PARTICIPANT.

7. GENERAL RELEASE.
BY ENTERING THE SWEEPSTAKES, PARTICIPANTS RELEASE SPONSOR AND ALL OF THEIR RESPECTIVE PARENTS, SUBSIDIARIES, AFFILIATES, DIVISIONS, BRANDS, DIRECTORS, OFFICERS, TRUSTEES, SHAREHOLDERS, EMPLOYEES, AGENTS, ADVISORS, CONTRACTORS, CONTRIBUTORS, LICENSORS, AND DISTRIBUTORS (COLLECTIVELY, THE “RELEASED PARTIES”) FROM ANY LIABILITY WHATSOEVER, AND WAIVE ANY AND ALL CAUSES OF ACTION FOR ANY CLAIMS, COSTS, INJURIES, LOSSES, OR DAMAGES OF ANY KIND ARISING OUT OF OR IN CONNECTION WITH THE SWEEPSTAKES OR ACCEPTANCE, POSSESSION, OR USE OF THE GRAND PRIZE (INCLUDING, WITHOUT LIMITATION, CLAIMS, COSTS, INJURIES, LOSSES, AND DAMAGES RELATED TO PERSONAL INJURIES, INTELLECTUAL PROPERTY INFRINGEMENT OR VIOLATIONS, DEATH, DAMAGE TO OR DESTRUCTION OF PROPERTY, RIGHTS OF PUBLICITY OR PRIVACY, TAXES, OR DEFAMATION OR PORTRAYAL IN A FALSE LIGHT, WHETHER INTENTIONAL OR UNINTENTIONAL), WHETHER UNDER A THEORY OF CONTRACT, TORT (INCLUDING NEGLIGENCE), WARRANTY, OR OTHER THEORY.

8. INDEMNIFICATION.
PARTICIPANTS HEREBY INDEMNIFY, HOLD HARMLESS, AND SHALL DEFEND THE RELEASED PARTIES AGAINST ANY CLAIM, LIABILITY, ACTION, PROCEEDING, LOSS, COST, EXPENSE, OR DAMAGE (INCLUDING LEGAL FEES AND COSTS) WHICH A RELEASED PARTY MAY SUFFER OR INCUR, INCLUDING, BUT NOT LIMITED TO, PROPERTY DAMAGE, PERSONAL INJURY, INTELLECTUAL PROPERTY INFRINGEMENT OR VIOLATION, AND/OR DEATH (A) AS A RESULT OF A BREACH OR THREATENED BREACH OF THIS AGREEMENT; (B) IN ANY WAY RELATED TO THE SWEEPSTAKES; (C) RELATED TO THE WINNING PARTICPANT’S ACCEPTANCE AND/OR USE OR MISUSE THE GRAND PRIZE; AND/OR (D) INVOLVING ANY CLAIM RELATING TO ANY RIGHTS IN OR TO ANY ENTRY AND/OR ENTRY MATERIAL.

9. LIMITATION OF LIABILITY/WAIVER OF RIGHTS.
CLAIMS, JUDGMENTS, DAMAGES, AND/OR AWARDS OBTAINED BY OR ON BEHALF OF ANY PARTICIPANT SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS ASSOCIATED WITH ENTERING THE SWEEPSTAKES. PARTICIPANT HEREBY WAIVES ANY RIGHTS OR CLAIMS TO ATTORNEYS’ FEES AND/OR INDIRECT, SPECIAL, PUNITIVE, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF PARTICIPANT, WHETHER FORESEEABLE OR NOT, AND WHETHER BASED ON A THEORY OF NEGLIGENCE OR OTHERWISE.

10. Use of Participants’ Name, Likeness, and Other Information.
Except where prohibited by law, Winning Participant and any party who agrees to participate in this Sweepstakes authorize Sponsor to use their name, voice, likeness, biographical data, city and state of residence and Winning Participant in programming or promotional material, in any media now known or hereafter created or conceived, worldwide in perpetuity, including on a winner’s list, if applicable, without further compensation unless prohibited by law. Sponsor is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor’s sole discretion, without further obligation or compensation. Participants release Sponsor from any actions, claims, injury, loss or damage allegedly caused, directly or indirectly, by any such statements or opinions made within promotional material or media.

All entries (including photos) become the property of Sponsor and may be used by it and/or its designees and assigns without compensation in any manner, and, in any media, worldwide in perpetuity, for programming, publicity, promotional and/or other purposes, to the extent permitted by law.

11. Governing Law.
This Agreement shall be deemed to have been made and entered into in the State of Texas and shall be construed and enforced in accordance with the laws of the State of Texas, without regard to the conflicts of laws provisions therein. The Parties agree that exclusive venue and jurisdiction with respect to any dispute, controversy, or claim under this Agreement shall be in either Collin County, Texas, or the federal courts of the Eastern District of Texas, Sherman Division. The Party prevailing in any dispute shall be entitled to recover all costs of such proceedings, including reasonable attorneys’ fees (including those for in-house counsel). THE PARTIES HEREBY WAIVE TO THE FULLEST EXTENT PERMITTED BY LAW ANY RIGHT EITHER MAY HAVE TO A TRIAL BY JURY WITH RESPECT TO ANY COURT PROCEEDING DIRECTLY OR INDIRECTLY RELATED TO THIS AGREEMENT. Participant affirms that Participant has sufficient contact with Texas such that Participant would reasonably anticipate being haled into said courts in Texas regarding this Agreement or any other contract or issues arising between the parties hereto. Sponsor shall have the right, alternatively, to elect to enforce this agreement in a jurisdiction in which Participant is domiciled.

12. Miscellaneous.
Sponsor reserves the right to change these Official Sweepstakes Rules at any time, in its sole discretion, and to suspend or cancel the Sweepstakes or any Participants’ participation in the Sweepstakes for any reason, including, but not limited to, should a virus, bug, unauthorized human intervention or other cause beyond Sponsor’s control affect the administration or security of the Sweepstakes or Sponsor otherwise becomes (as determined in its sole discretion) incapable of operating or unwilling to operate the Sweepstakes as described in this Agreement.

Participants further agree not to violate any federal, state, or local laws, rules, or regulations in conjunction with this Sweepstakes.

Participants who violate these Official Sweepstakes Rules, tamper with the operation of the Sweepstakes, or engage in any conduct that is detrimental or unfair to Sponsor, the Sweepstakes, or any other Participant (in each case as determined by Sponsor in its sole discretion) are subject to disqualification from the Sweepstakes. Sponsor reserves the right to deny eligibility for and participation in the Sweepstakes to any person whose eligibility is not certain.
Unless indicated otherwise below, Participants may be added to Sponsor’s mailing lists.

13. Entirety of Agreement.
This document, together with any other documents incorporated herein by reference and related exhibits and schedules, constitutes the sole and entire agreement of the parties to this document with respect to the subject matter contained herein, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.

14. Severability.
If any term or provision of this document is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this document or invalidate or render unenforceable such term or provision in any other jurisdiction.

15. Assignment.
Sponsor shall have the right to assign or transfer this document and its obligations hereunder. Participants may not assign or transfer this Agreement. Subject to the foregoing, this document will be fully binding upon and inure to the benefit of each Party’s respective heirs, executors, administrators, legal representatives, successors, and permitted assigns.


BY PARTICIPATING IN THE SWEEPSTAKES, PARTICIPANTS AGREE TO BE BOUND BY THESE OFFICIAL SWEEPSTAKES RULES AND BY THE DECISIONS OF SPONSOR, WHICH ARE FINAL AND BINDING IN ALL RESPECTS.
